Affiliate Program — Terms of Service

By signing up for the VDClip Affiliate Program ("Program"), you agree to be bound by the following terms and conditions ("Terms of Service").

VDClip reserves the right to update these Terms at any time. Your continued participation in the Program after any changes constitutes acceptance of the updated terms. We recommend that you review this document periodically.

Violation of any of the terms below may result in the termination of your account and the forfeiture of any pending commissions earned during the period of violation.

1. About the Program

The VDClip Affiliate Program allows content creators, influencers, and partners to earn recurring commissions by referring new users to the platform. Each sale made through your affiliate link generates a direct commission for you.

The Program is free to join and requires no upfront investment. Simply sign up, receive your unique link, and start promoting.

2. Eligibility Requirements

To participate in the Program, you must meet the following requirements:

  • Be 18 years of age or older.
  • Be a real person. Accounts created by bots or automated methods are not permitted.
  • Provide your full legal name, a valid email address, and any other information requested during the sign-up process.
  • Maintain only one account in the Program per individual or legal entity.
  • Keep your login credentials personal and non-transferable — sharing them with others is not permitted.
  • Maintain the security of your account and password. VDClip is not liable for any losses resulting from unauthorized use of your account.
  • Not use the Program for any illegal or unauthorized purpose, including violation of copyright laws or any other laws applicable in your jurisdiction.

3. Commissions and Payments

3.1 Commission Structure

  • The default commission rate is 25% recurring on each active subscription referred by you.
  • Custom commission rates may be negotiated directly with the VDClip team.
  • Commissions are generated only for sales made through your affiliate link and correctly tracked by our system.

3.2 Referral Tracking

Each affiliate receives a unique tracking link. We use cookies with a 90-day validity period to ensure your referrals are properly attributed, even if the user does not make a purchase immediately.

VDClip pays commissions exclusively on referrals that are tracked and recorded automatically by our systems. Commissions will not be paid based on verbal claims or manual purchase reports not reflected in the system.

3.3 Minimum Payout and Payment Schedule

  • The minimum payout threshold is $50.00 USD.
  • Payments are made monthly, provided your accumulated balance meets the minimum threshold.
  • If your balance does not reach $50.00 in a given month, it will carry over to the following month.
  • Available payment methods include PIX, bank transfer, and PayPal, subject to availability in your region.

3.4 Deductions and Reversals

  • Applicable taxes, fees, and charges will be deducted.
  • Commissions may be reversed in cases of refunds, cancellations, or fraud.
  • VDClip may suspend commission payments in the event of disputes or violation of these Terms.

3.5 Self-Referral Prohibition

You may not use your own affiliate link to purchase VDClip products for personal use. Purchases identified as self-referrals may result in the withholding of commissions and/or termination of your participation in the Program.

4. Eligible Products and Valid Purchases

You may earn commissions on the sale of the following products ("Eligible Products"): VDClip Premium, available as monthly or annual subscriptions.

Only "Valid Purchases" will be eligible for commissions — that is, purchases made by a new customer (someone who has never held a previous subscription) after clicking your affiliate link.

VDClip reserves the sole right to determine whether a sale qualifies as valid.

5. Links, Materials, and Promotion

Upon signing up, you will receive a unique affiliate link. You may use it on your website, social media, emails, and other communications. Links must always point to the product page being promoted on https://vdclip.com.

VDClip provides marketing materials — including banners, suggested copy, and visual assets — available in the affiliate dashboard. Modifying these materials without authorization is prohibited. VDClip may request that you stop using or update these materials at any time in accordance with brand guidelines.

If you create your own materials containing official brand elements, VDClip may require prior review and approval.

6. Prohibited Promotion Methods

Affiliates may not:

  • Spread false or misleading information.
  • Use coupon websites or distribute fake coupons.
  • Offer unauthorized discounts, giveaways, or promotions.
  • Send spam of any kind (emails, comments, advertisements).
  • Impersonate a VDClip employee or official representative.
  • Clone or copy the VDClip website.
  • Use the brand name in domains, paid advertisements, or social media account names.
  • Run paid advertising campaigns (Google Ads, Facebook Ads, paid influencers, etc.) using the "VDClip" brand without prior authorization.
  • Promote without following disclosure guidelines required by laws and platforms (e.g., including #ad or #sponsored in sponsored posts).

7. Application Rejection

VDClip may reject any application to the Affiliate Program without obligation to provide a reason. Some reasons that may lead to rejection include (but are not limited to):

  • Websites with illegal, offensive, or copyright-infringing content.
  • Websites engaged in phishing, spam, pornography, or resale of our products.
  • Content incompatibility with the brand.

8. Intellectual Property

All products, trademarks, logos, and promotional materials are the exclusive property of VDClip. Affiliates must respect these rights and may not use such elements improperly or for unauthorized purposes.

9. Your Responsibilities

You are solely responsible for the development, operation, and maintenance of your website and all content published on it. This includes:

  • The technical operation of your website and related equipment.
  • Ensuring that the display of affiliate links does not violate any agreements with third parties.
  • The accuracy and appropriateness of published materials, including information about VDClip products.
  • Ensuring that materials do not violate the rights of third parties (copyrights, trademarks, privacy, etc.).
  • Maintaining an adequate privacy policy that discloses how visitor data is collected and used.

10. Legal Compliance

As a condition of your participation in the Program, you agree to comply with all laws, regulations, and rules applicable in your jurisdiction, including laws governing email marketing, privacy, and commercial communications (such as consumer protection laws, the LGPD in Brazil, the GDPR in Europe, the CAN-SPAM Act in the United States, as well as FTC guidelines where applicable). You are required to disclose in all promotional content that you earn a commission on sales made (e.g., "This is an affiliate link").

11. Customers

Customers who purchase products through the Program are considered VDClip customers. All of our customer service, pricing, and operational policies apply to these customers. Product prices and availability may change without prior notice.

12. Reports and Monitoring

VDClip may provide affiliates with reports containing information about clicks, valid purchases, and commissions earned. This data is for informational purposes only and is subject to internal verification. The existence of these reports does not constitute an obligation to pay until the amounts have been validated by the responsible team.

13. Commission per Thousand Qualified Users and New User Bonus

In addition to commissions on Valid Purchases, affiliates may receive a fixed additional commission for every 1,000 qualified users who access and register on the platform through their Affiliate Link.

User qualification is determined based on internal criteria defined by VDClip, which include, among others:

  • Verification that the user is real, unique, and not automated;
  • Behavior consistent with legitimate and human use of the platform;
  • Traffic from reliable sources (no use of VPNs, bots, or simulated clicks);
  • Minimum system interactions and real engagement indicators.

These criteria may be updated periodically to maintain the integrity of the program. For each group of one thousand qualified users, the affiliate will be notified and entitled to the corresponding commission.

Referred User Bonus:

Users who make their first platform subscription through an Affiliate Link may also receive an exclusive welcome bonus, provided directly to the user, as an incentive for conversion.

This bonus is offered only once, on the user's first subscription, and is subject to system validation. The type, value, and form of this benefit may vary according to internal promotional campaigns but will always be visible to the user at the time of subscription.

14. Termination and Suspension

14.1 By VDClip

VDClip reserves the right to suspend or terminate your participation in the Program, at its sole discretion, if it identifies a violation of these Terms, fraud, or prohibited promotional methods. Commissions obtained through fraudulent or illegal means will be fully canceled.

14.2 By the Affiliate

You may terminate your participation in the Program at any time by submitting a written request to our team. Upon termination, you must immediately remove all VDClip links, logos, and materials from your website and communications.

14.3 Payment After Termination

Pending commissions as of the termination date will be processed normally, provided they have reached the minimum threshold of $50.00 USD and are not involved in disputes or irregularities.

14.4 Program Discontinuation

VDClip reserves the right to discontinue the Affiliate Program entirely at any time. In such case, affiliates will be notified and pending commissions above $50.00 USD will be paid.

15. Relationship of the Parties

The relationship between VDClip and the affiliate is strictly contractual and independent. Nothing in these Terms creates any partnership, joint venture, franchise, sales representative, or employment relationship. You have no authority to make offers or assume commitments on behalf of VDClip.

16. Limitation of Liability

VDClip shall not be liable for any direct, indirect, special, or consequential damages (including loss of revenue, profits, or data) arising in connection with the Program. The affiliate agrees that participation is at their own risk, with no guarantee of earnings. VDClip's total liability to you, under any circumstances, shall be limited to the total commissions paid or owed to you.

We do not guarantee that the VDClip platform will operate without interruption or errors, and we are not liable for the consequences of any interruptions.

17. Changes to the Terms

VDClip may revise these Terms at any time. Changes take effect immediately upon publication on the website or notification by email. Continued use of your affiliate link after an update constitutes automatic acceptance of the new terms. We recommend that affiliates review this document periodically.

18. Governing Law and Jurisdiction

By accepting these Terms, you agree to resolve any and all disputes with VDClip through binding arbitration, expressly waiving your right to a jury trial or participation in class actions. Before initiating arbitration, you must send a written notice to VDClip describing the dispute and seek to resolve the matter in good faith, informally, within a period of 60 days. Only after this period may arbitration proceedings be initiated.

Any matter not resolved through arbitration or expressly excluded from arbitration shall be governed by the laws of the Federative Republic of Brazil, without regard to conflicts of law principles.

In cases where arbitration does not apply — such as actions involving urgent injunctive relief or requiring immediate judicial protection — the parties agree that such disputes shall be resolved exclusively by the state or federal courts located in the city of Rio de Janeiro, State of Rio de Janeiro, Brazil. You irrevocably consent to the jurisdiction and venue of these courts for such cases.
