Affiliate Policies - VDClip
1. Participation in the Affiliate Program
Joining our Affiliate Program is simple. Just create an account and complete the registration form. You must be 18 years or older and have a valid PayPal account or bank details to receive payments. By signing up, you declare that you meet these requirements and do not reside in a country under sanctions from international bodies, such as the Office of Foreign Assets Control (OFAC).
After submitting your application, it will be reviewed based on criteria such as brand alignment and target audience compatibility. Approval is at the sole discretion of the company and will be communicated via email. Once approved, you will receive a unique link (“Affiliate Link”) to promote on your website or social media as outlined in these Terms.
The company reserves the right to reevaluate and terminate the participation of any affiliate at any time with prior notice.
2. Eligible Products and Valid Purchases
You may earn commissions on the sale of the following products (“Eligible Products”): VDClip Premium, available as monthly or annual subscriptions.
Sales are tracked through VDClip’s own system starting from the first click on your Affiliate Link. Only “Valid Purchases” made by new customers — i.e., individuals who have never subscribed before — after clicking your link will be considered.
The company reserves the exclusive right to determine whether a sale is valid.
3. Commission
For each Valid Purchase you generate, you will be entitled to a standard 25% commission on the subscription amount of the Eligible Product. Commissions will be paid only for the first 12 consecutive months from the date of the first purchase. After this period, no additional commissions will be due, even if the subscription is renewed.
Commissions are usually paid on the 15th of the month following the purchase, but may take up to 45 days. Payments will be made via PayPal or bank transfer, according to the information you provide.
Deductions and Reversals:
- Applicable taxes, fees, and charges will be deducted.
- Commissions may be reversed in cases of returns, cancellations, or fraud.
- The company may withhold commission payments in case of disputes or violation of these Terms.
4. Application Rejection
The company may reject any application to the Affiliate Program without obligation to provide justification. Reasons for rejection may include (but are not limited to):
- Websites with illegal, offensive, or copyright-infringing content
- Websites practicing phishing, spam, pornography, or reselling our products
- Content incompatible with the brand
5. Prohibited Promotion Methods
Affiliates may not:
- Share false or misleading information
- Use coupon sites or promote fake coupons
- Offer unauthorized discounts, gifts, or promotions
- Send spam (emails, comments, ads)
- Impersonate a company employee or official representative
- Clone or copy the company's website
- Use the brand name in domains, paid ads, or social media handles
- Run paid ads (Google Ads, Facebook Ads, paid influencers, etc.)
- Conduct promotions without required legal disclosures (e.g., include #ad or #sponsored in paid posts)
6. Licensed Materials
The company may provide promotional materials (logos, banners, etc.) for affiliate use. Modifying these materials without permission is prohibited. The company may request you to stop using or update materials in accordance with brand guidelines.
If you create your own materials containing official elements, the company may require prior review and approval.
7. Intellectual Property
All products, brands, logos, and promotional materials are the exclusive property of the company. Affiliates must respect these rights and may not use such elements improperly or for unauthorized purposes.
8. Legal Compliance
Affiliates agree to comply with all applicable laws and regulations, including consumer protection laws, data protection laws (such as Brazil's LGPD), and FTC guidelines if applicable. You must disclose in all promotional content that you are earning a commission from sales (e.g., “This is an affiliate link”).
9. Termination
Affiliates may end their participation in the Program at any time by written request. The company may also terminate participation at its discretion, especially in cases of violations of these terms.
Pending commissions up to the termination date will be processed normally, provided they are not involved in disputes or irregularities.
10. Limitation of Liability
The company shall not be liable for any direct, indirect, or incidental damages related to participation in the Affiliate Program. The affiliate agrees to participate at their own risk, with no guarantee of earnings.
11. Changes to the Terms
The company may revise these Affiliate Program Terms at any time. Changes will take effect immediately upon publication on the website or email notification. Continued use of the affiliate link after updates constitutes automatic acceptance of the new terms. Affiliates are encouraged to review these Terms periodically.
12. Independence of the Parties
The relationship between the company and the affiliate is strictly contractual and independent. Neither party shall be considered an employee, legal representative, agent, or partner of the other.
13. Reports and Monitoring
The company may provide affiliates with reports containing information on clicks, valid purchases, and generated commissions. These reports are for informational purposes only and are subject to internal verification. The existence of such reports does not imply a payment obligation until amounts are validated by the responsible team.
14. Commission per 1,000 Qualified Users and Bonus for New Users
In addition to commissions for Valid Purchases, affiliates may receive a fixed bonus for every 1,000 qualified users who access and register on the platform through their Affiliate Link.
User qualification will be determined based on internal criteria defined by the company, which include but are not limited to:
- Verification that the user is real, unique, and not automated;
- Behavior consistent with legitimate and human use of the platform;
- Traffic from reliable sources (no use of VPNs, bots, or simulated clicks);
- Minimum interaction with the system and genuine engagement indicators.
Criteria may be periodically updated to maintain the integrity of the program. For each group of 1,000 qualified users, the affiliate will be notified and entitled to the corresponding bonus.
Bonus for the Referred User:
Users who make their first subscription through an Affiliate Link may also receive an exclusive welcome bonus, offered directly to the user as an incentive to convert.
This bonus will be offered only once, upon the user’s first subscription, and is subject to system validation. The type, value, and method of this benefit may vary depending on internal promotional campaigns but will always be visible to the user at the time of subscription.
This practice aims to promote not only user base growth but also ensure a positive experience for those referred by affiliates, helping build loyalty from the first interaction.
15. GOVERNING LAW AND JURISDICTION
By accepting this Agreement, you agree to resolve any and all disputes with the Company through binding arbitration, expressly waiving your right to a jury trial or to participate in class action proceedings. Prior to initiating arbitration, you must provide the Company with written notice of the dispute and engage in good-faith efforts to resolve the matter informally within a 60-day period. Arbitration proceedings may commence only after this period has passed.
Any matter not resolved through arbitration or explicitly excluded from such proceedings shall be governed by the laws of the Federative Republic of Brazil, without regard to conflict of law principles.
In cases where arbitration does not apply—such as actions involving urgent injunctive relief or requiring immediate judicial intervention—the parties agree that such disputes shall be resolved exclusively by the state or federal courts located in the city of Rio de Janeiro, State of Rio de Janeiro, Brazil. You irrevocably consent to the jurisdiction and venue of these courts for such matters.
This section complements, but does not replace, the provisions regarding arbitration, and reinforces the parties’ commitment to resolving any disputes efficiently and fairly.
