1. Services Offered

VDClip offers video editing, subtitling, framing, among other services using artificial intelligence. We provide paid plans and a free trial plan to allow users to experience our services.

2. Authorization for Users Under 18

Customers under the age of 18 must obtain authorization from legal guardians before using our services.

You declare and warrant that you are of legal age to enter into a binding contract, or, if not, have obtained permission from your parents or guardians to use the Services and have caused them to agree to this Agreement on your behalf.

3. Content Liability

VDClip does not assume responsibility for the content used by our clients through our services. The responsibility for the content lies exclusively with the user who processes it.

We do not take responsibility for any content produced using our platform, including but not limited to: spreading fake news, distorting context, or any misuse of our platform.

4. Communications

We will send communications through the Services, including messages via email, SMS, or through the website, to keep our users informed about updates, news, and other relevant matters.

5. Changes to Terms

6. Copyrights for Videos and Creative Content

6.9. Copyright Notices on VDClip Services:

Materials displayed or available on the Services, including texts, graphics, data, articles, photos, images, illustrations, and user submissions, are protected by copyright and/or other intellectual property laws. You agree to comply with all notices and restrictions contained in the content accessed through the Services, without exploiting it in a manner that violates copyright or property rights of another person.

By using VDClip, you agree not to copy, reproduce, modify, translate, publish, disseminate, transmit, distribute, perform, upload, display, license, sell, market, or exploit for any purpose any content that is not your property without the prior consent of the owner of that content.

7. User Submissions

7.1. Definition:

• Any content you publish, upload, share, store, or provide through the Services is considered your "User Submission."

7.2. Responsibility:

• You are solely responsible for all User Submissions you contribute to the Services. You declare that your User Submissions are accurate, complete, updated, and compliant with this Agreement and all applicable laws.

7.3. Restrictions:

• You agree not to provide User Submissions that infringe third-party rights, contain inappropriate content, exploit minors, promote fraudulent schemes, or violate any law.

7.4. License:

• You grant VDClip a license to translate, modify, and reproduce your User Submissions as necessary to operate the Services.

8. Content Removal by VDClip

We reserve the right to remove any content from the Services at any time, for any reason, at our discretion, without prior notice.

9. Terminations and Suspensions by VDClip

VDClip may terminate or suspend your use of the Services for any reason, at our discretion, including a violation of this Agreement.

10. Fees and Payments

10.1. Free or Fees:

• Some Services may be free, while others may involve fees. We will notify you before starting to charge for free Services.

10.2. Paid Services:

• If applicable, refer to our Paid Services for information on fees and payment terms.

11. Billing and Payments

11.1. Payment Processor:

• We use a Payment Processor, currently Paddle, to charge for Paid Services, subject to the terms of the Payment Processor.

11.2. Payment Method:

• You agree to make payments using the selected Payment Method and are responsible for all fees and charges.

12. Refund Period

We offer a 14-day period from the date of the first subscription for users to request a full refund if they are not satisfied with the service. After this period, refunds will not be granted.

12.1. Refund Conditions

To be eligible for a refund, the following conditions must be met:

• The request must be made within 14 days of the first subscription date.
• Refunds will not be granted for automatic renewals, only for the first subscription.
• Refunds will not be granted if the service has been extensively used in a manner that suggests bad faith, such as subscribing, fully enjoying the benefits, and then requesting a refund as an attempt to commit fraud.

12.2. Subscription Cancellation

• Users can cancel their subscription at any time by accessing the profile page or contacting our support team.
• Cancellation prevents future charges, but the subscription will remain active until the end of the already paid period.
• After the subscription period ends, the service will be automatically terminated, and no further charges will be made.

12.3. How to Request a Refund

To request a refund, users can:

• Manage their subscription directly on the profile page of the website; or
• Contact our support team via email at [email protected], providing:

• Full name;
• Email registered in the subscription;
• Reason for the request.

Our team will review the request and respond as quickly as possible. If the refund is approved, the amount will be returned through the same payment method used. The time for the refund to reflect in the user’s account depends on the card provider, bank, or payment processor, and may vary according to their policies.

12.4. Exceptions

Refunds will not be granted in the following cases:

• Requests made after the 14-day period from the first subscription;
• Subscriptions that have already been automatically renewed;
• Violation of the Terms of Use of the service;
• Excessive use of the service within the subscription period, indicating improper usage before requesting a refund.

13. Automatic Renewal for Paid Services

Unless you disable automatic renewal, Paid Services will be automatically extended for successive periods, with notification before billing.

14. Indemnification

You agree to indemnify VDClip for claims related to your use of the Services and violation of this Agreement.

15. Third-Party Links

The Services may contain links to third-party websites, and VDClip is not responsible for these websites or online services.

16. Integration with Google and YouTube Services

1. Consent to YouTube's Terms: By using VDClip and linking your Google Account, you agree to the YouTube Terms of Service and authorize access to YouTube API services via the OAuth protocol.
2. Use of YouTube API: VDClip uses the YouTube API to enable specific functionalities, such as automated or managed video posting. Access is limited to the scopes provided during the authentication process.
3. Revocation of Access: Access to your Google Account can be revoked at any time through the Google Permissions Center, the Google Security Settings, or through the VDClip interface, using the "Remove Account" option in the connected accounts section.

17. Assignment and Severability

You may not assign this Agreement without prior written consent from VDClip. If any term is deemed invalid, the remaining terms remain in effect.

18. No Waiver

VDClip's failure to immediately act upon violations does not waive its rights.

19. Subscriptions and Use of Services Without a Registered Account

VDClip offers the option to purchase plans and services without the need to create an account in advance. In this modality, the user provides basic information such as name, email address, and other relevant details to complete the subscription payment.

After the payment is confirmed, we will display on-screen instructions for the user to create an account at http://app.vdclip.com/auth/signin, using the same email address provided at the time of subscription. In addition, VDClip will send an email with the necessary guidelines to complete the registration and access the platform.

Once the user registers with the email address used for the subscription, the purchased plan will be automatically linked to their account and made available for immediate use.

If the user wishes to cancel their subscription or request a refund, they must do so in accordance with these Terms of Service by contacting us through the official support channels available on the website.

If, after purchasing the plan, the user fails to complete their registration on the platform, even after multiple contact attempts and instructions sent by VDClip, and does not show any interest in regularizing access or contacting our support team, such a situation will be considered a breach of contract by the client. In this case, the service will not be made available, and no refunds of any amounts paid will be issued.

These Terms of Service are subject to change. We recommend reviewing them regularly. By continuing to use the Services after the changes, you agree to the updated Terms.
